| Legal Existence. Haywood Dennis Faculty Inc. is a Canadian Privately Controlled Corporation, which is doing business under the trade name of Haywood Dennis™/HD Faculty. Haywood Dennis Faculty Inc. received its charter on August 18, 2007. |
Governing Laws. Haywood Dennis Faculty Inc. ("Haywood Dennis™") is registered pursuant to the Canadian Business Corporation Act, and operates internationally; therefor[e] it is subject to ordinances, statues, rules, regulations and statutory requirements of the Countries wherein it is conducting its business affairs. |
Fiscal Year End. The fiscal/taxation year is the 18th day of August. |
Date of Annual Meeting. Unless otherwise specified by the presiding directors, the annual meeting of Shareholders shall be held on 17th day August in each year and at such time and place in or outside Canada as the Directors may determine for the purpose of hearing and receiving the reports and statements required by the Act to be read and laid before the shareholders at any annual meeting. |
Authorized Stock. Haywood Dennis™ is authorized to issue Class A shares and Class B shares. |
Mandate.
Haywood Dennis™ is mandated to provide a series of management
faculties, which are required to be staffed by seasoned professionals
and qualified support staff that are empowered to provide
its commodities and solutions to its clients. |

Management and Direction. Haywood Dennis™ is authorized to have a minimum of one (1) and maximum of twelve (12) directors. The presiding Board of Directors has been empowered to appoint a President, a series of Vice-presidents, a Secretary, and a Treasurer and, if deemed advisable, may annually or more often as may be necessary, appoint a Chairman of the Board, CEO and a Managing Director, from among their peers, and other officers as the Board of Directors may determine, including one or more assistant to the designated officers. |
Requirements. Haywood Dennis™ is required to conduct, manage, research, develop, implement, and maintain its business affairs through it management faculty in accordance with "The S.M.A.R.T. Management™ People!™" Program. In addition, the directors shall have at all time an executive committee, conduct review committee, investment committee, risk management committee, audit committee, and corporate governance committee, a majority to the directors of each such committee must be resident Canadians. the composition of all committees shall meet all applicable independence and other legal and regulatory requirements. |
